Terms of Service

1. Who we are

These Terms of Service ("Terms") govern your use of the Universe Card platform at universecard.io and app.universecard.io (the "Platform"), operated by [Universe Card legal entity] ("Universe Card", "we"). Universe Card operates a card management platform for advertising spend. Universe Card is not a bank. Cards are issued by licensed partner banks and electronic money institutions pursuant to licences from Visa, Mastercard and UnionPay ("Issuers"). Availability of specific BINs, networks and currencies depends on the Issuers and may change.

2. The service

The Platform lets approved business customers top up a prepaid balance, issue virtual cards, set limits, manage team access, receive 3-D Secure codes, export transaction data and send payouts. Features, fees and limits for each pricing tier are shown on the pricing section of the site and in your cabinet; the fee schedule in your cabinet prevails if they differ.

3. Eligibility and verification

The Platform is for businesses and professional media buyers. Before you can top up or issue cards you must complete identity and business verification (KYC/KYB), which we run with accredited verification providers, including sanctions and politically-exposed-person screening. We may decline or off-board any account at our discretion, including where required by our Issuers or by law. See our AML & CTF statement.

4. Balances

Your balance is a prepaid credit for use on the Platform. It is not a deposit, earns no interest and is not covered by deposit-guarantee or investor-compensation schemes. Safeguarding of funds underlying card programmes is performed by the Issuers in accordance with their licences. Top-ups are credited after the confirmations or bank-matching checks described in your cabinet; we may request source-of-funds evidence for large top-ups.

5. Cards and usage

Cards may only be used for lawful business purchases consistent with our Acceptable Use Policy. Certain merchant categories are blocked programme-wide. You are responsible for all activity by users you invite to your team and for keeping credentials and 2FA secure. We may freeze cards, decline authorisations or restrict accounts to manage fraud, chargeback or compliance risk; where lawful, we will tell you why.

6. Payouts

Payouts are executed on the rails shown in your cabinet after internal review (maker-checker). We may delay or refuse a payout that fails compliance checks. Recipient details are your responsibility; transfers to addresses or accounts you specify are irrevocable once executed.

7. Fees and taxes

Fees (top-up fees and card fees) are charged per the fee schedule for your tier and are deducted from your balance. You are responsible for your own taxes. Invoices are available in the cabinet for every top-up.

8. Termination

You can close your account at any time after settling outstanding transactions; we return remaining balance to a verified source account, net of fees, subject to compliance checks. We may suspend or terminate the service for breach of these Terms, at an Issuer's direction, or where the law requires.

9. Liability

The Platform is provided "as is" to business customers. To the maximum extent permitted by law, our aggregate liability arising out of the service in any 12-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential loss, for advertising-platform decisions (e.g. ad-account bans), or for events outside our reasonable control. Nothing limits liability that cannot be limited by law.

10. Changes and governing law

We may update these Terms; material changes will be announced in the cabinet at least 14 days in advance. These Terms are governed by the laws of [jurisdiction] and disputes are subject to the courts of [venue].
